Terms of Service

1. Acceptance of Terms

By accessing or using SafeKeeper ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and SafeKeeper.

2. Description of Service

SafeKeeper is a cloud-based HR management platform that provides tools for staff management, compliance tracking, time and attendance, document management, and related HR functions. The Service is provided on a subscription basis.

3. Account Registration

3.1 Account Creation

  • You must provide accurate, complete, and current information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must be at least 18 years old to create an account
  • One account per organization; multiple subaccounts can be created for employees

3.2 Account Security

  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • We recommend enabling multi-factor authentication for enhanced security
  • You must not share your account credentials with unauthorized persons

4. Subscription and Pricing

4.1 Subscription Plans

  • Starter Plan: €49.99/month (1-15 users)
  • Professional Plan: €99.99/month (15-50 users)
  • Enterprise Plan: Custom pricing (50+ users)
  • All prices include VAT and are billed monthly

4.2 Payment Terms

  • Subscriptions are billed in advance on a monthly basis
  • Payment is processed through Stripe, our payment provider
  • You authorize us to charge your payment method on file
  • Failed payments may result in service suspension
  • Price changes will be communicated 30 days in advance

4.3 Refunds

Refunds are generally not provided for partial months. If you cancel your subscription, you will retain access until the end of your current billing period. Enterprise customers may have different refund terms as specified in their contract.

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service solely for managing your organization's HR functions.

5.2 Prohibited Activities

You may not:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws or regulations in your use of the Service
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to send spam or unsolicited communications
  • Resell or redistribute the Service without authorization
  • Remove or alter any proprietary notices or labels
  • Use automated tools to access the Service (except our official API)

6. Your Data and Content

6.1 Data Ownership

You retain all ownership rights to the data and content you upload to the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Service.

6.2 Data Responsibility

  • You are solely responsible for the accuracy and legality of Your Data
  • You warrant that you have the right to upload and process Your Data
  • You are responsible for obtaining necessary consents from employees
  • You must comply with applicable data protection laws (GDPR, etc.)

6.3 Data Backup

While we perform daily automated backups, you are responsible for maintaining your own backups of Your Data. You can export your data at any time through the Service.

7. Intellectual Property

7.1 Our Rights

The Service, including all software, designs, text, graphics, and other content, is owned by SafeKeeper and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our permission.

7.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms.

8. Service Availability

8.1 Uptime

We strive for 99.9% uptime but cannot guarantee uninterrupted availability. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Modifications

We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes when practical.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will be effective at the end of your current billing period.

9.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment method fails repeatedly
  • You engage in fraudulent or illegal activity
  • Required by law or to protect our rights

9.3 Effect of Termination

Upon termination, your right to access the Service will cease immediately. Your Data will be deleted 30 days after termination unless required to be retained by law. We recommend exporting your data before cancellation.

10. Warranties and Disclaimers

10.1 Service Warranty

We warrant that the Service will perform substantially as described in our documentation. This warranty does not apply to issues caused by misuse, unauthorized modifications, or circumstances beyond our control.

10.2 Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAFEKEEPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless SafeKeeper from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) Your Data.

13. Governing Law and Disputes

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to conflict of law provisions.

13.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ireland.

13.3 Dispute Resolution

Before initiating legal proceedings, we encourage you to contact us to seek resolution of any disputes informally.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SafeKeeper regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, or failure of third-party services.
